Purchase Terms and Conditions

1. General Provisions

1.1 These purchase-sale terms and conditions (hereinafter – the “Terms”) constitute a legally binding document between the parties, establishing the rights and obligations of the Buyer and the Seller, the conditions for acquiring, reserving, and paying for Goods and Services, the procedure for delivery of Goods and provision of Services, the procedure for returning Goods and Services and cancelling Reservations, the liability of the parties, and other provisions relating to the purchase and sale of Goods and Services on the website https://paliesiausdvaras.lt/.

1.2. Definitions

  • Goods – physical items sold on the website or in the related online store (e.g., gift vouchers).
  • Services – tickets to events (concerts), accommodation services, catering services (restaurant, bakery, wine cellar), spa and leisure services, educational/exploratory programmes, rental of premises or grounds for events and celebrations, and other services provided by Paliesius Manor.
  • Order / Reservation – a request submitted by the Buyer to purchase a Good and/or Service, made via the website, email, or telephone.
  • Buyer – a natural or legal person acquiring Goods and/or Services.
  • Seller – UAB “Diagnostinės sistemos” (see clause 1.3).

1.3. Information about the Seller

1.3.1 The Seller is UAB “Diagnostinės sistemos”, legal entity code 122263421, VAT payer code LT222634219, registered office at Kalvariju sodu 1-oji g. 2, LT-08315 Vilnius. Information about the Seller is collected and stored in the Register of Legal Entities, administered by the State Enterprise Centre of Registers.

1.4. Conclusion of the Contract

1.4.1 By submitting an Order or Reservation, the Buyer confirms that they agree to these Terms.

1.4.2 A contract for Goods between the Buyer and the Seller is deemed concluded from the moment the Buyer, having formed a shopping cart on the website, indicated a delivery address, selected a payment method, and reviewed the Terms, clicks the “Buy” button.

1.4.3 A contract for Services (tickets, accommodation, catering, spa, rental of premises, etc.) is deemed concluded from the moment the Buyer submits an Order/Reservation via the website, email, or telephone, having reviewed these Terms and the conditions applicable to the specific Service (price, date, cancellation conditions), and the Seller confirms this Order/Reservation in accordance with clause 4.5.

 

2. Rights and Obligations of the Buyer

2.1 The Buyer undertakes to pay the Seller the agreed amount for the ordered Goods and/or Services and to accept them.

2.2 The Buyer must provide complete, accurate, and truthful information in the Order/Reservation form. If the Buyer provides inaccurate, false, or misleading data, the Seller has the right to cancel the Buyer’s Order/Reservation and delete the data.

2.3 If the Buyer’s details provided in the Order/Reservation form change, the Buyer must promptly inform the Seller.

2.4 The Buyer has the right to withdraw from the purchase-sale contract for Goods or Services, in accordance with the provisions set out in the Return Conditions.

2.5 By submitting an Order/Reservation, the Buyer agrees to these Terms and undertakes to comply with them and with applicable laws of the Republic of Lithuania.

 

3. Rights and Obligations of the Seller

3.1 The Seller undertakes to create all conditions for the Buyer to properly use the services and reservation function provided on the website.

3.2 If the Buyer attempts to harm the stability and security of the website or breaches their obligations, the Seller has the right to immediately and without warning restrict, suspend, or terminate the Buyer’s ability to use the website.

3.3 The Seller undertakes to respect the Buyer’s right to privacy with respect to the Buyer’s personal information provided in the Order/Reservation form, and to process it in accordance with the Privacy Policy.

3.4 The Seller undertakes to deliver the Buyer’s ordered Goods to the address specified by the Buyer and to provide the ordered Services at the agreed time and under the conditions set out in clause 4.6.

3.5 The Seller may, due to important circumstances, temporarily or permanently suspend the operation of the website without prior notice to the Buyer.

3.6 The Seller may unilaterally amend these Terms; such amendments shall not apply to Orders/Reservations already confirmed.

3.7 If the Buyer continues to use the services provided on the website after such amendments, the Buyer is deemed to have agreed to the amendment of the Terms.

3.8 To the extent not contrary to applicable law, the Seller is released from any liability in cases where losses arise because the Buyer failed to review these Terms, the Privacy Policy, and other documents referred to herein, even though such opportunity was provided.

 

4. Reservation of Services, Price, and Payment

4.1 Methods of Reservation

Services (tickets, accommodation, catering, spa, educational programmes, rental of premises) may be ordered/reserved: (i) on the website https://paliesiausdvaras.lt/, by completing the order/reservation form or adding to the cart; (ii) by email at info@paliesiausdvaras.lt; (iii) by telephone at +370 626 82 760.

4.2 Price

The price of a Service is indicated on the website or in an individual offer before confirming the Order/Reservation. The price is indicated in euros, including VAT where applicable. The Seller reserves the right to change prices; however, the price in effect at the time of confirmation shall apply to an already confirmed Order/Reservation.

4.3 Payment Procedure

For tickets to events, the full price is paid at the time the Order is placed.

For accommodation, catering, spa, and other Services, unless otherwise stated in the specific offer or reservation form, the full price is paid at the time the Reservation is confirmed. For certain Services (e.g., stays longer than 3 nights, organisation of events/celebrations, group reservations), the Seller may establish a partial advance payment (deposit) procedure – in such cases, the specific deposit amount (as a percentage of the total price) and the deadline for payment of the balance shall be indicated in the individual offer or reservation confirmation before the Buyer agrees to the Reservation.

4.4 Payment Methods

  • Payment cards Visa and Mastercard (via the payment operator integrated on the website);
  • Bank transfer according to an issued invoice or via an online banking system;
  • Other payment methods indicated on the website, where offered.

All card payment transactions are processed through a certified payment service provider that ensures data security in accordance with the PCI DSS standard. The Seller does not store the Buyer’s payment card data.

4.5 Confirmation of Order / Reservation

Upon receipt of payment, or, where a deposit applies, the relevant portion thereof, the Seller shall send an Order/Reservation confirmation to the Buyer’s specified email address, indicating: the name of the Service, date(s), price, amount paid, balance (if applicable), and the Reservation cancellation conditions in accordance with the Return Conditions.

4.6 Provision of Services and Delivery of Goods/Tickets

  • Tickets to events: after payment, the ticket (e-ticket) is sent to the Buyer’s specified email address; the ticket may be printed or presented on a phone screen at the event entrance. In certain cases, the ticket may be collected at Paliesius Manor’s reception before the event, upon presenting the Order number.
  • Accommodation, catering, spa services: provided at the time specified in the Reservation at the Paliesius Manor address (Dvaro st. 7, Paliesiaus village, Mielagėnai eldership, 30171 Ignalina district), upon the Buyer’s arrival and presentation at reception of the Reservation confirmation and an identity document.
  • Rental of premises/grounds for events and celebrations: specific conditions (arrival/departure times, equipment, additional services) are agreed upon and set out in a separate contract or individual confirmation.
  • Physical Goods: delivered to the address specified by the Buyer within the period indicated on the website or in the product description.

 

5. Quality and Warranties of Goods and Services

5.1 All information about Goods and Services sold on the website (description, price, conditions) is indicated in the description of each Good/Service.

5.2 The quantities of Goods shown in photographs are not always related to the price – units of measurement are indicated in the description. The colour of Goods may vary slightly depending on the Buyer’s monitor.

5.3 The Seller may provide a corresponding quality guarantee for individual Goods and Services, the specific term and other conditions of which are indicated in the description.

5.4 Defects in Goods shall be remedied, and defective Goods exchanged or returned, and the Buyer may raise claims regarding improperly provided Services, in accordance with the procedure established in these Terms and in the Return Conditions, and in accordance with the requirements of applicable laws of the Republic of Lithuania.

 

6. Marketing and Information

6.1 The Seller may organise various promotions and offers for Goods and Services on the website.

6.2 The Seller has the right to unilaterally change or cancel the terms of promotions without separate notice. Any such change or cancellation takes effect from the moment of its entry into force and does not alter the terms of Orders/Reservations already confirmed.

6.3 The Seller sends notices to the Buyer at the email address specified by the Buyer.

6.4 The Buyer shall send all notices and questions to the contacts indicated in the “Contacts” section of the Seller’s website.

6.5 The Seller is not liable if the Buyer fails to receive informational or confirmation messages due to internet connection issues, disruptions in email service providers’ networks, messages being filtered into the SPAM folder, or due to incorrect data provided by the Buyer.

6.6 The Seller processes the Buyer’s personal data in accordance with the conditions set out in the Privacy Policy.

 

7. Final Provisions

7.1 These Terms have been drawn up in accordance with the laws and legal acts of the Republic of Lithuania.

7.2 These Terms are governed by the law of the Republic of Lithuania. Any disputes arising from the performance of these Terms shall be resolved through negotiation. If no agreement is reached, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.

7.3 The procedure for the return of Goods and Services, cancellation of Reservations, and refund of money is set out in a separate document – the Return Conditions.
